These terms apply to a vehicle sales quotation issued by Automotivate Fleet Solutions Ltd and to an order arranged through us. They are the same terms provided on our sales quotations.

Status of quotation. This quotation is issued by Automotivate Fleet Solutions Ltd (company number 16707642) as a broker between the buyer and the selling party. It is an invitation to treat, not an offer capable of acceptance. A binding contract is formed only when the selling party confirms the buyer's order in writing.

Validity, availability and specification. The quotation is valid for 15 days from its date unless withdrawn or replaced earlier. Vehicle availability, production slots, specifications, colours, options and delivery dates are subject to manufacturer, supplier and funder confirmation. Images, descriptions and estimates are illustrative; the buyer must check that the final specification and suitability meet its requirements before ordering.

Price, tax and charges. Prices are based on information available on the quotation date. The selling party may adjust the price before order acceptance where manufacturer pricing, taxes, duties, Vehicle Excise Duty, registration charges, exchange rates, or supplier costs change. VAT is charged at the rate applying at delivery. PDI, delivery, onward-delivery, RFL and first-registration charges are as shown or as applicable at registration.

Payment and title. Unless agreed otherwise in writing, all sums must be received as cleared funds before release or delivery of the vehicle. Title passes from the selling party only after it has received payment in full. The buyer remains responsible for any agreed finance, insurance and registration requirements.

Delivery, risk and inspection. Delivery dates are estimates and time is not of the essence. Risk passes to the buyer on delivery or collection. The buyer should inspect the vehicle on delivery and notify the selling party promptly of any visible damage, shortage or incorrect specification. This does not limit any rights the buyer has by law.

Warranty and after-sales. Manufacturer and supplier warranties apply on their stated terms. Automotivate does not itself provide a separate vehicle warranty unless it agrees this in writing. The buyer should keep all servicing, maintenance and warranty records required by the manufacturer or warranty provider.

Cancellation and changes. Once an order is accepted, cancellation or changes are subject to the selling party's written agreement. The buyer may be responsible for reasonable costs already incurred, including manufacturer, supplier, conversion, administration, transport or registration costs, where these have been agreed or are otherwise recoverable by law.

Liability. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded. Subject to this, Automotivate is not liable for indirect or consequential loss, loss of profit, business interruption or loss arising from manufacturer or supplier delay, provided that nothing limits rights that cannot lawfully be restricted.

Events outside reasonable control. Neither Automotivate nor the selling party is responsible for delay or failure caused by matters beyond reasonable control, including supply-chain disruption, manufacturer delay, transport interruption, strikes, extreme weather, acts of government or changes in law.

Data protection and law. Customer information is used to prepare, arrange and administer the quotation and any order in accordance with applicable data-protection law and Automotivate's privacy notice. These terms and any non-consumer dispute are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Nothing in these terms affects mandatory consumer rights where the buyer is a consumer.
